RiskMetrica provides an AI-native, modular risk-intelligence platform including, without limitation: the Risk Appetite Calculator (RAC), Balance Module, risk culture analytics, scenario and stress-testing engines, decision guardrails and delegations, reporting builder, APIs, connectors, and dashboards. Features may evolve, be enhanced, or be deprecated, provided core contracted functions are not materially diminished without reasonable notice.
Named accounts and, where applicable, paid subscriptions are required for most modules. You are responsible for safeguarding credentials, enforcing MFA where provided, and all activity under your account. Notify RiskMetrica promptly of any suspected unauthorised access.
We may suspend or terminate access for violations. We may also take steps to protect the platform and other users.
Pricing and billing terms are set out in the relevant order form or online plan. Fees exclude taxes unless stated. Late payments may accrue statutory interest. Renewals follow the agreed plan unless terminated per the contract.
RiskMetrica retains all IP in the platform, modules, models, code, algorithms, data pipelines, and documentation. You retain ownership of your input data. You grant us a limited licence to process such data solely to operate, improve, and secure the Services. Feedback may be used without restriction.
Processing of personal data is governed by our Privacy Policy and, where applicable, a Data Processing Addendum. We operate ISO 27001-aligned controls and adhere to UK and EU GDPR and relevant regulations. Cross-border transfers use adequacy or Standard Contractual Clauses with supplementary measures.
Each party must protect the other's confidential information with at least the same care it uses for its own, and not disclose it except as required by law or to perform the contract.
We use commercially reasonable efforts to provide high availability and resilience. Maintenance windows and emergencies may cause temporary interruptions. Customers should maintain their own continuity arrangements and exports as part of operational risk management.
Some functions rely on third-party services, governed by their own terms. RiskMetrica is not liable for third-party performance. You must comply with all relevant third-party licence requirements.
The Services are provided "as is" and "as available." We disclaim all warranties to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that outputs will be error-free or compliant without expert validation.
Neither party is liable for indirect, incidental, special, or consequential damages. RiskMetrica's aggregate liability is capped at amounts paid for the Services in the twelve months preceding the claim. Nothing limits liability for fraud, wilful misconduct, or liability that cannot be limited by law.
You will indemnify RiskMetrica and its affiliates against claims, losses, and expenses arising from your breach of these Terms, unlawful use, or violation of third-party rights.
We may suspend or terminate access for breach, security risk, or legal compliance. On termination, rights to use the Services cease immediately. Clauses on IP, confidentiality, limitation of liability, indemnity, and governing law survive.
We may update these Terms for legal, technical, or operational reasons. Material changes will be notified with at least 30 days' notice. Continued use after the effective date constitutes acceptance.
For UK and EU customers, these Terms are governed by the laws of England and Wales, with exclusive jurisdiction of the English courts. Other jurisdictions may apply as set out in your order form.
